i. objective of the business
objective of the business (function2form) is the marketing of advertisements of all kinds on the internet and in print, coaching in this context as well as database setup and management. the business fulfills accepted orders in its own name and on its own billing proxying in for the respective client.
ii. warranty
1. the client is obliged to check advertisements immediately after appearance on the website or in other (electronic) form or print and to complain in written form about potential mishaps within a weeks span after the appearance. in case of training units, the client is obliged to check the content and extent of the training as documented by training material within a week and to report divergence from the agreed content and extent within a week. analogously, the structurues and content of databases or functions based upon these databases have to be checked and complains be made within a weeks span. if a complaint isn't issued in due time, the client is not entitled to claim warranty.
2. in case of inaccurate publication of advertisements the company is entitled ad lib to either perform a substitute publication to the extend that was inaccurate or to retouch the advertisement. similarly, the company is entitled in the case of trainings that diverge in extent or content from the contract to supply additional training and add training material. should a database or functions based on it diverge from the capabilities agreed on, the company has the right to correct the database or applications based on it so that the agreed functionality is achieved. only if such retouching or substitution is impossible, failed at least twice, was intolerably delayed or denied by the company despite being allowed an adequate time limit set by the client, the client has the right to cancel the contract (change) or reduce the payment (reduction).
3. inaccurate publication of an advertisement in the sense mentioned is not given if the objected presentation was caused by use of inadequate rendering soft- or hardware (e.g. browser), by interruptions in the communication networks of other companies or by downed servers of internet providers or online-services or by incomplete and/or out dated services on proxyservers (buffers) of commercial or non-commercial providers and online-services the responsibility for which is not the company's, or by downtime of a server of less than 24 hours (continually or added) within 30 days after the begin of the agreed publication, by act of nature beyond control, strike or other reasons that are ont immediately in the responsibility of the company. a deviation from the agreed content or extent of a training is not given if , the didactic methodology does not meet the clients expectations. likewise, divergence from the agreed functionality of a database or applications based on it is not given if the client uses hard- or software than agreed on with the company and the perceived divergence can be traced back to that circumstance.
4. in case of inadequacies in the fulfillment of an assignment the client is not entitled to refuse payment for another assignment. setoff is permittet only if the claim put to setoff is undeniable or stated by court.
